1. Introduction

Welcome to Mondilla (Mondilla,we,our, or us). These Terms and Conditions govern your use of our website at mondilla.io and the services we provide as a technology agency.

By accessing or using our website and services, you (Client, User, or you) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Definitions
Client - Any individual or entity that engages Mondilla for services.
Project - Any work or deliverable commissioned by the Client.
Services - All services offered by Mondilla including but not limited to web development, mobile applications, UI/UX design, branding, and SEO.
User Content - Any content, materials, or information provided by the Client.
Mondilla - Refers to Mondilla and its representatives.
3. Eligibility

Our services are available to individuals and businesses who are at least 18 years of age and have the legal capacity to enter into binding agreements. By using our services, you represent and warrant that you meet these eligibility requirements.

Our services are intended for both personal and commercial use, subject to the terms outlined in individual project agreements.

4. Scope of Services

Mondilla offers the following services:

  • Web Development and Design
  • Mobile Application Development
  • User Interface (UI) and User Experience (UX) Design
  • Brand Identity and Logo Design
  • Search Engine Optimization (SEO)
  • Digital Marketing Solutions
  • Technical Consulting

All services are project-based and customized to meet specific client requirements. Project timelines, deliverables, and specifications are subject to individual agreements and contracts.

5. User Obligations

By using our services, you agree to:

  • Provide accurate, complete, and up-to-date information
  • Respond promptly to requests for information or feedback
  • Not misuse our platform or services for illegal activities
  • Comply with all applicable laws and regulations
  • Respect intellectual property rights
  • Maintain confidentiality of any sensitive information shared
  • Make payments according to agreed terms
6. Payment Terms

Payment Structure

Payment terms are specified in individual project agreements and may include milestone payments, upfront deposits, or other arrangements as mutually agreed upon.

Refund Policy

Refunds are considered on a case-by-case basis and are subject to the terms outlined in individual project agreements. Work completed and delivered is generally non-refundable.

Late Payments

Late payments may result in project delays, suspension of services, or additional fees as specified in the project agreement.

7. Intellectual Property

Mondilla retains all intellectual property rights to design assets, source code, methodologies, and proprietary processes until full payment is received for the project.

Upon full payment, clients are granted limited usage rights to the final deliverables as specified in the project agreement. This typically includes the right to use the system for its intended purpose and access to relevant dashboards or admin panels.

However, for certain specialized or high-security projects (e.g., Broker Platforms, Online Banking Systems, Courier & Shipping Systems), the source code remains the exclusive property of Mondilla. Clients will be provided with full platform access and control (e.g., admin login, CMS, dashboard), but not server access, hosting credentials, or source code—unless explicitly stated in the project agreement.

Mondilla does not provide hosting account credentials by default. If server or cPanel access is required, it must be explicitly agreed upon in the signed project documentation.

Clients may not copy, replicate, distribute, or reuse any part of the codebase in other platforms or environments without written permission from Mondilla.

User-provided content remains the property of the client. By submitting content to Mondilla, you grant us a non-exclusive license to use, adapt, and incorporate such content solely for the purpose of delivering the project.

8. Confidentiality

Both Mondilla and the Client agree to protect confidential information shared during the course of the project. This includes business strategies, technical specifications, user data, and any other sensitive information.

Non-disclosure agreements (NDAs) may be executed for projects involving highly sensitive information, as deemed necessary by either party.

9. Project Revisions & Cancellation

Revisions

Each project includes a specified number of revision rounds (typically 2-3 rounds) as outlined in the project agreement. Additional revisions may incur extra charges.

Cancellation

If a project is cancelled mid-way, the client is responsible for payment of work completed up to the cancellation date. Any deliverables completed will be provided to the client upon payment.

10. Limitation of Liability

Mondilla shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, reputation, or business opportunities.

Clients use our services at their own risk. Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question.

Mondilla is not responsible for any illegal, fraudulent, or unethical activities carried out using platforms, websites, or systems we develop. The client bears full responsibility for the end use of the deliverables, including any misuse by their users or third parties.

Mondilla reserves the right to suspend or terminate service, access, or ongoing support if the project is found to be used for fraudulent, harmful, or unlawful purposes.

Any warranties or guarantees must be explicitly stated in writing within the individual project agreement.

11. Third-Party Tools and Services

Mondilla may integrate third-party APIs, tools, plugins, or services as part of project deliverables. These may include but are not limited to:

  • Content Management Systems
  • Payment Processing Services
  • Analytics and Tracking Tools
  • Cloud Hosting Services
  • Social Media Integrations

Mondilla is not responsible for failures, outages, or issues arising from third-party providers. Clients are encouraged to review the terms and privacy policies of any third-party services integrated into their projects.

12. Termination

Either party may terminate the working relationship under the following conditions:

  • Breach of contract or these Terms
  • Non-payment of agreed fees
  • Failure to provide necessary materials or feedback
  • Mutual agreement to terminate

Upon termination, all work completed up to the termination date will be delivered upon payment of outstanding fees. Both parties will return or destroy any confidential information as appropriate.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Nigeria. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Nigeria.

For international clients, specific governing law and jurisdiction may be addressed in individual project agreements.

14. Changes to Terms

Mondilla reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting on our website.

We encourage users to review these Terms periodically to stay informed of any updates. Continued use of our services after changes constitutes acceptance of the modified Terms.
